Prosus gets green light to complete Just Eat deal

Prosus has secured final approval from the European Commission to acquire Just Eat Takeaway.com.

Prosus has secured final approval from the European Commission to acquire Just Eat Takeaway.com - including Just Eat for Business. The pair have received all the regulatory approvals needed to complete their €4.1bn deal. This includes receiving competition clearance from the European Commission, with the offer set to close on 1st October 2025. 

'A Europe-based food delivery giant'
The acquisition is part of Prosus’s plan to build a Europe-based food delivery giant, combining Just Eat’s strong brand with Prosus’s technology and AI expertise to boost growth, improve customer experience, and deliver more value to partners, drivers, and shareholders. The acceptance period for shareholders to tender their shares runs until 1st October 2025 at 17:40 CEST. Prosus and JET are urging all shareholders to participate before the deadline.

To secure approval, Prosus agreed to reduce its stake in Delivery Hero over the next year and will not place any representatives connected to Naspers/Prosus on Delivery Hero’s boards. If all other conditions are met by the closing date, Prosus plans to declare the offer unconditional within three business days, paving the way for integration and future expansion.
